## How to bulk invite visitors
Invite visitors (or investors) by pasting their emails separated by commas within our guided invite flow. The invite flow includes:
* Customized messaging
* Pre-selection of what Data Room(s) you’re inviting the members into
* Customized access or permission groups
Head to the **Access** tab, then scroll down to the *Members* section. Here you can privately invite members into your Data Room.

## How do I make my Data Room public?
### Access Links
* Under the **Access** tab, you'll find the **Access links** section. Here you can create one or many access links with different permission groups and access settings
* Name each link and include an optional expiration date

*Select how visitors gain access your data room. Access link permissions apply only to visitors who have not received and accepted an email invite*

Only MP4 files can be embedded directly within the Video section of your Data Room.

* **Per Room Storage Limit:** 50 GB
* **Upload Modal Limit:** Up to 30 files at a time via drag-and-drop or manual file selection
* **Individual File Size Limit:** No hard limit per file, but very large files may affect loading speed

* Keep filenames clear and descriptive (e.g., Fund\_Overview\_Q2\_2025.pdf)
* Use the **Featured Documents** section to highlight your most important files

# Updating Reference Documents

How to upload, edit, and remove reference documents like PPMs, LPAs, etc
**Reference items** are the non-fillable documents (or links) that you can make available for your investors to view and download while they are completing a Transaction. You can add as many documents as you want, as well as edit or remove existing ones through the Template's *Processes* tab. Here are the steps on how:
Click into a specific Template and it will open up to the *Processes* tab by default
On the right side, you can take action on any Reference Items.
*Editing* an item will allow you to delete, preview, or re-upload a new file to replace it.
To replace it, you may either re-upload a new file or search through existing files across your Organization.
You may also opt to replace the document with an external link.
Clicking on *Add item* will provide you with the same options as above, except for a new reference item.

# Template Previews

How to preview your Template as a specific investor type
When you need to review the investor experience or see details on specific questions within a Template, you can preview it without having to create a Transaction. Here are the steps on how:
1. Click on **Templates** via the left sidebar, and then into the Template you're looking to preview.

2. The *Processes* tab will open by default where you can pre-select the entity type you want to preview. Templates are built to change depending on the entity type filling them out. After selecting an entity type, you can click **Preview**.

3. This next page will be a preview of the investor experience within the
Template. You can test this experience by filling in mock data and uploading
documents. You can also see the *Reference items* you have uploaded to the
Template. These are the documents or links available to your investors for
viewing and downloading.

4. If you want to save time and fill every field quickly, you can do so with the *Fill with mock data for testing* toggle within the **Testing** tools feature.

5. The last part of the preview experience is to view or download the fillable documents that these fields are completing. These documents are the final PDFs that your investor will be completing after they've signed and submitted the Transaction.

## How can I add a new Template?

### What kind of Templates can I add?
Outside of the full subscription booklets, we can create Templates that automate simple documents or are purely for data collection. Here are examples:
* Additional investment/contribution forms
* Redemption forms
* Transfer forms
* Collecting signatures on updated PPMs/LPAs
* Banking/Wire instruction updates
* This is an example of a data collection workflow that would request info from the investor for you to store.
* KYC/AML document updates
* We can set up Templates (that change by different investor entities) to collect updated KYC/AML documents
* Any other simple paperwork you find yourself having investors fill out manually!
*Please note that adding these Templates may or may not be apart of your Transact subscription. This will be discussed as part of your request.*
# How to counter-sign your documents

Optional feature to counter-sign after you mark In Good Order
We can enable the counter-signature flow on a template by template basis. Once a transaction is signed and marked *************In Good Order,************* the transaction will be ready for signature by a designated Authorized Signatory. An email will be automatically triggered to the Authorized Signatory, inviting them back into the transaction.

### Will the documents expire before I can counter-sign them?
Yes, once a set of documents have been signed by an investor, a 90 day expiration timer starts for the counter-signature process. Once 90 days have gone by, you will need to export the investor signed documents, sign them outside of Transact, and re-upload them back into the system to mark as Confirmed.
# How to export your transactions and investors information

CSV export feature
You can export data on an organization level and at a transaction level. The export will be in a .CSV format with every data point you collect as a column.

When you're on the Transactions dashboard, click Export to export every Transactions data point.

### Transaction level export:
When you're within a Transaction, click the **Actions** button on the top right of your screen to export each data point.

### Downloading all files
When you're within a Transaction, click **Files**, then **Download All** to export all files uploaded into a Transaction and any signed documents.

While reviewing a transaction you may find mistakes, inaccurate figures, blurry/incomplete images, or clarifications needed. You can submit revision requests back to the investor to retry the selected information without having to restart from the beginning.

When everything is found satisfactory, click **Finalize** on the top right of your screen.
Select **In Good Order** or **Rejected.**
* If counter-signatures **are required and set up**, then the Authorized Signatories for the account will receive an email prompting them to sign in and complete the signature.
* If the reviewer is also the Authorized Signatory, then continue in this guide [here](/transact/transactions/counter-signatures).
If counter-signatures are **not** required, then the transaction is in its final status.
Any pre-set notifications will be sent to the investor and/or fund manager. Examples include wire instructions, banking information, next steps, etc.

What do the different transaction statuses mean?
Here is a list of the standard transaction statuses you will find across Digital Subscriptions:
Depending on your onboarding process, we are able to change these status names. We can review that during implementation.
A transaction is in the **Created** status when an investor has started a transaction via the funds public link but has not started filling any information out yet.
A transaction is in the **Invited** status when an investor has been sent a private email invite to a transaction but has not started filling any information out yet.
A transaction is in the **Pending Investor** status once an investor has started filling their information out but has not completed or signed the documents.
A transaction is in the **Submitted** status once all the information has been filled out and/or the documents have been signed. This status indicates the fund manager has not opened the transaction and begun reviewing for accuracy and completion.
A transaction is in the **Pending Review** status when the fund manager has opened the transaction after it’s been submitted and/or documents have been signed. The fund manager will then conduct their unique review process and either request for more information, corrections, or mark it **In Good Order**.
A transaction is in the **Pending Revision** status after a fund manager sends the transaction back to the investor to request a revision. If a fund manager finds a mistake, needs clarification, or requests more information, they will send a revision request back to the investor. After the investor has provided the revision, the status will revert back to ***Pending Review.***
A transaction is in the ***In Good Order*** status when the fund manager has reviewed the information submitted and finds it satisfactory.
A transaction is in the ***Confirmed*** status once the fund manager has accepted the the submission. This acceptance may or may not involve a counter-signature by the fund manager.

Transactions represent an entity filling out a document (Template).
## How do I start a new Transaction?
### Public Link Sharing
One of two ways to start a transaction is to have an investor enter via a public URL to the template.
1. Click on the on the **Template** button within the Transactions tab.
2. Click on the specific template you want to share.
3. Either click on the URL or the "Copy Link" button. (See screenshot below)
4. Share the public URL with your investors so they can start a transaction immediately.

### Private Email Invite
The second way of starting a transaction is to send your investor a private email invitation link.
1. Click on the left sidebar ************************Transactions************************ tab.
2. Click the ******************************New Transaction****************************** button on the top right of your screen.
3. Select the appropriate options:
1. ************Sender Entity************ - The name of the sending entity/fund manager that will be displayed as the sender in the body of the email.
2. ******************Template****************** - The template you want the transaction to fill out.
3. **********************************Recipient Name********************************** - The name of the entity filling out the transaction that will be displayed on the body of the email. The recipient will change this when they start the transaction.
4. ******************************Recipient Email****************************** - The email that the private email invitation link will be sent to.
4. Click ************Create************.
5. The email invitation will be sent from [portal-notifications@angellist.com](mailto:portal-notifications@angellist.com) and a transaction will appear in the *******Invited******* status until they start the transaction.
💡 This email invite is one-click only for security purposes. After the one-click, it will become null and void. You’ll then have to send another email invite out.

## Can I manually change a Transaction status?
Unfortunately you cannot manually change a transaction status right now.
The transaction status will change based upon the action taken. If you feel there is a mistake, please contact [portal@angellist.com](mailto:portal@angellist.com) so we can review.
## Can I delete Transactions?
No, only a team member from AngelList can delete Transactions. We have guardrails in place to prevent any accidental deletions.
## How do I share an existing Transaction with an investor?
You can use the *Copy link to share* button within a Transaction to send a direct link to an existing Transaction.
This link is viewable by both admins and investors. Depending on who opens it, the Transaction will open to the appropriate view based on the account, as long as the recipient has access to the Transaction.
This feature can be used to remind an investor of a pending Transaction, reference a Transaction to a co-worker or reviewer, point to completed/signed documents, and more!

How to upload investor documents into a Transaction as an admin
## When would I need to upload a document for an investor?
If you already have an investor’s document, such as from a repeat investor or one they emailed you directly outside the platform, you can easily upload the document to their Transaction on their behalf.
## How do I manually upload files into a Transaction?
Click into a Transaction, then select the Actions drop down to upload files.

The files you upload will appear under this **Files** tab and will be available to the investor to download from their dashboard. It's important to note these files are for your record keeping and will not move the Transaction progress forward. If you want to upload a document to a specific field that will satisfy the requirement, please look at the question below.

## Can I upload a document into a specific field on behalf of an investor?
Yes! Under the **Files** tab within a Transaction you can click the **Upload to Field** button. This allows you to upload a document and assign it to a specific field, helping to meet the requirements needed to move the Transaction forward.


## What do I do with a side letter?
Any side letters signed outside of the system can be uploaded into the Transaction. After clicking into the Transaction, select the **Actions** drop down to upload the letter.

If you are ready to sign a Transaction and receive this note on the dashboard, this means your account role is not set up to sign the Transaction. There are two ways to move forward here:

4. Toggle the **Authorized Signatory** switch and save changes.

While filling out a document (Transaction) in Digital Subscriptions, you can change your entity name and type at any point *before* you sign and submit.
**Please Note:** The questions on the document are dynamic to the type of entity you're investing through. Changing your entity *type* may trigger additional questions or remove unnecessary answers you have already provided.

* **Active** - This member has accepted the email invite.

## Directory
On the leftside navigation bar, the **Directory** dropdown menu is available with the options below. This **Directory** is a collection of investor entity profiles and accounts (emails) of everyone who has interacted with your Investor Management products like Digital Subscriptions, Data Room, Investor Portal, and/or Compliance CRM.
The screenshots below are for Investor Portal customers who have the ability to manually create new Directory Entities and People, bulk upload documents into Directory Entities, and review investments/holdings data.

### Directory Entities
A Directory Entity is a record of an investor entity profile that is defined by it's legal name and entity type. Examples of entity types include: Individual, Trust, LLC, IRA, etc.
These records are created the following ways:
**Digital Subscriptions:** Automatically when an AngelList account starts a Transaction via one of *your organization's* Templates and creates a new entity or selects an existing one. That entity will be recorded as a Directory Entity in your directory.
**Portal:** You can manually create Directory Entities via the **New entity** button if you have purchased Investor Portal.

### Directory People
A Directory Person (People) is a record of an investor's AngelList account tied to a specific email.
These records are created the following ways:
**Data Room:** Whenever a visitor in your Data Room is privately invited in or visits via a *Verified Link* level security Access Link.
**Digital Subscriptions:** Whenever an AngelList account user creates a new Transaction. *Note:* If someone starts a Transaction on behalf of someone else, they are both created as Directory People and associated with that Directory Entity.
**Portal:** You can manually create a Directory Person via the **New person** button if you have purchased Investor Portal.

If you want to upload a single file across every investor within a fund, you should upload that file directly into the [Vehicle](/portal/general/vehicles) instead of using this workflow.

You will then select a destination folder for your files to go, across every investor profile.
**Mapping Template:** Download the provided template to map each document to the correct Directory Entity. This Template provides you with all existing Directory Entity and Vehicle IDs.
**Organize & Rename Documents:** Ensure each document is named appropriately to match the corresponding Directory Entity.
The guide within the product will walk you through **exactly** how to name your files. An example is also below in the FAQ section.
Use the interface to upload your ZIP file. The system will validate the files and mappings.
After uploading, a confirmation screen will display the validation results.
Address any errors by correcting the file names or mappings. You can remove errors and continue with the rest of the project. This allows you to manually upload errored files afterwards.

Breaking down the Directory drop down and how you manage your investors
## Directory
On the leftside navigation bar, the **Directory** dropdown menu is available with the options below. This **Directory** is a collection of investor entity profiles and accounts (emails) of everyone who has interacted with your Investor Management products like Digital Subscriptions, Data Room, Investor Portal, and/or Compliance CRM.

### Directory Entities
A Directory Entity is a record of an investor entity profile that is defined by it's legal name and entity type. Examples of entity types include: Individual, Trust, LLC, IRA, etc.
These records are created the following ways:
**Digital Subscriptions:** Automatically when an AngelList account starts a Transaction via one of *your organization's* Templates and creates a new entity or selects an existing one. That entity will be recorded as a Directory Entity in your directory.
**Portal:** You can manually create Directory Entities via the **New entity** button if you have purchased Investor Portal.

### Directory People
A Directory Person (People) is a record of an investor's AngelList account tied to a specific email.
These records are created the following ways:
**Data Room:** Whenever a visitor in your Data Room is privately invited in or visits via a *Verified Link* level security Access Link.
**Digital Subscriptions:** Whenever an AngelList account user creates a new Transaction. *Note:* If someone starts a Transaction on behalf of someone else, they are both created as Directory People and associated with that Directory Entity.
**Portal:** You can manually create a Directory Person via the **New person** button if you have purchased Investor Portal. View how to via the guide below.
# Understanding Vehicles in the Investor Portal

A Vehicle represents a fund or SPV entity within your Investor Portal. It serves as the central hub for connecting relevant entities, documents, and key stakeholders in one place.
### **What is a Vehicle?**
A **Vehicle** is an object in the Investor Portal that represents a **fund or SPV entity**. It provides a centralized space where you can view and manage everything tied to that entity, including:
* Connected **Directory Entities** (i.e., investor profiles)
* Associated **Data Rooms**
* Assigned **Authorized Signatories**
Think of it as the command center for that particular fund or SPV, giving you clear visibility and quick navigation across all its connected elements.
### **Uploading Fund-Level Documents**
The **Files** tab within each Vehicle lets you upload documents that apply at the fund level—such as:
* Investor letters
* Quarterly or annual financials
* General fund updates or announcements
Any **Directory Entity** connected to the Vehicle will automatically have access to these files, making it a simple way to distribute information broadly and securely.

### **How to Create a Vehicle**

### **Note on Fund Structures**
We currently **do not support sub-level Vehicles**. For example, if you have a **master-feeder structure**, we typically break those out into **separate Vehicles** for each feeder (e.g., onshore, offshore, or tax-exempt entities).
This approach ensures clarity and alignment with the way investors are grouped and files are shared.
